Terms & Conditions

1. Introduction
‍These Terms and Conditions govern the provision of services by AlphaAlgo ("Provider") to the Client. By engaging the services of AlphaAlgo, the Client agrees to these Terms and Conditions.

‍2. Services
‍Provider offers AI-driven social media management, B2B marketing, advertising, web design and ai automation services as described in our service agreements. Specific service details, deliverables, and timelines will be outlined in individual client contracts.

‍3. Payment Terms
A setup or design fee is required for initiating services, including Alpha Ads, Alpha B2B, and Alpha Social, Alpha Automation, Alpha Web followed by monthly service retainer payments. These retainers are automatically billed on a recurring monthly basis. Payments for AI Assistants, Web Design and Development, and Logo Services are divided into two equal installments: half upfront at the start of the project and the remaining half upon delivery.

‍4. Client Responsibilities
‍‍The Client agrees to provide all necessary information resources, and full cooperation as requested by AlphaAlgo. The Client agrees to adhere to the suggestions provided by AlphaAlgo regarding video content creation, social media management, and ad campaign management. The Client's compliance with the above points is required for AlphaAlgo to deliver services effectively and for the service guarantee to be valid.

‍5. Service Guarantee
If the Client subscribes to the Alpha Social service for 12 months and does not see a marked improvement in their metrics, AlphaAlgo will refund 50% of the total funds paid for this service to the Client. If the Client subscribes to the Alpha Ads service for 3 months and does not receive the guaranteed leads, AlphaAlgo will refund 100% of the total funds paid for this service to the Client.If the Client subscribes to the Alpha B2B service for 12 months and does not see a marked improvement in their metrics, AlphaAlgo will refund 50% of the total funds paid for this service to the Client.

‍6. Cancellation and Refunds
‍Services can be canceled by either party with a notice period as outlined in the individual client contract. Refunds, other than those specified in the Service Guarantee, will be at the discretion of AlphaAlgo.

‍7. Intellectual Property
‍All intellectual property rights in materials produced by AlphaAlgo remain the property of AlphaAlgo unless otherwise agreed in writing.

‍8. Confidentiality
‍Both parties agree to keep confidential information secure and not to disclose it to any third party without the prior written consent of the other party.

‍9. Limitation of Liability
‍AlphaAlgo's liability to the Client for any loss or damage arising out of or in connection with the services shall be limited to the total amount paid by the Client for the services.

‍10. Indemnification
‍The Client agrees to indemnify and hold harmless AlphaAlgo from any claims, damages, or expenses arising from the Client's breach of these terms and conditions.

‍11. Dispute Resolution
‍Any disputes arising under or in connection with these terms and conditions shall be resolved through mutual negotiation. If unresolved, disputes shall be submitted to arbitration or legal action as agreed by both parties.

‍12. Amendment of Terms
‍AlphaAlgo reserves the right to amend these terms and conditions at any time. Continued use of services following any changes constitutes acceptance of the new terms.

‍13. Governing Law
‍These terms and conditions shall be governed by and construed by the laws of the state of Texas.

‍14. Agreement to Terms
‍By engaging the services of AlphaAlgo, the Client acknowledges that they have read, understood, and agreed to be bound by these terms and conditions.
